Maddy Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Maddy Labs ("Maddy," "we," "us," or "our"). They govern your use of the Maddy iOS application, its extensions and widgets, the Maddy website, and related services that link to these Terms (collectively, the "Services").
By tapping an acceptance control presented in Maddy, or by accessing or using the Services after these Terms are made available to you, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 14 years old to use Maddy. If the law where you live sets a higher age for entering a contract or consenting to data processing, you must meet that age or have legally valid permission from a parent or guardian.
You may use Maddy only if you are legally permitted to do so and are not barred from receiving the Services under applicable law. If you use Maddy for an organization, you represent that you have authority to bind that organization, and "you" includes the organization.
2. What Maddy Does
Maddy is an AI-assisted productivity tool that can help interpret messages and images, organize tasks and routines, assess availability, and propose or carry out calendar, reminder, notification, and shared-scheduling actions.
Maddy is not a human assistant and does not guarantee that it will understand a request, detect every conflict, preserve every detail, or create a correct result. AI output can be incomplete, inaccurate, or inappropriate. You are responsible for reviewing important titles, dates, times, time zones, locations, invitees, recurrence rules, reminders, and changes.
Maddy is not an emergency service and is not intended to provide medical, legal, financial, mental-health, academic-integrity, employment, or other professional advice. Do not rely on Maddy where an error could cause death, personal injury, substantial property damage, loss of rights, or another high-risk consequence.
3. Accounts And Access
Maddy may automatically create a pseudonymous account for an installation and may let you link or recover access through Sign in with Apple. You agree to:
- Provide accurate information where requested.
- Keep your device, Apple account, and Maddy access credentials secure.
- Promptly notify us if you suspect unauthorized access.
- Accept responsibility for activity performed through your account or device, except to the extent caused by our failure to use reasonable safeguards.
You may not sell, transfer, rent, or share access credentials. We may require reauthentication, replace credentials, force logout, or limit access to protect you or the Services.
4. Permissions And Your Instructions
Maddy requires your permission before accessing protected iOS resources such as Calendar, Photos, Camera, Location, or Notifications. You can decline or revoke these permissions, although the affected feature may not work.
When you direct Maddy to create, move, update, or delete an item, you authorize Maddy to attempt that action. Some actions may require confirmation. A confirmation screen, review block, or undo option is a convenience and is not a guarantee that every action can be reversed.
You remain responsible for:
- Reviewing high-importance actions and outputs.
- Maintaining independent records of critical commitments and deadlines.
- Ensuring you have authority to access, upload, change, or share the information involved.
- Confirming that a calendar, reminder, or notification was actually saved and delivered.
Deleting Maddy does not automatically remove events already written to Apple Calendar.
5. AI And Third-Party Processing
Maddy uses third-party AI services, currently including OpenAI, to interpret many messages and images and to produce proposed actions or answers. Depending on the request, Maddy may send selected images, OCR text, relevant calendar context, preferences, and recent conversation context to those services.
Before Maddy first shares personal information with a third-party AI provider, Maddy presents a separate disclosure and obtains an affirmative choice where required by Apple policy or applicable law. If you decline or withdraw that permission, AI-dependent features will not be available.
You must not use Maddy or its AI features to generate or facilitate illegal, harmful, fraudulent, abusive, exploitative, or rights-infringing activity. You acknowledge that output is probabilistic and must be independently reviewed.
6. User Content
"User Content" means messages, images, OCR text, profile information, feedback, booking details, and other material you provide through the Services.
You retain ownership of your User Content. You grant Maddy a limited, worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, format, and display User Content only as reasonably necessary to:
- Provide and secure the Services.
- Complete your requests.
- Operate features you choose, including shared scheduling.
- Comply with law and enforce these Terms.
This license ends when the relevant User Content is deleted, except for copies retained as permitted by the Privacy Policy or law.
You represent that you have the rights and permissions needed to provide User Content and that doing so will not violate another person's privacy, confidentiality, intellectual-property, contractual, or other rights. Do not upload highly sensitive information unless it is necessary and you are comfortable with the processing described in the Privacy Policy.
7. Friends And Shared Scheduling
Where Friends or shared scheduling is available:
- Your username and limited profile fields may be discoverable by other Maddy users.
- Booking details may be shared with invited participants.
- Participants may accept, decline, suggest changes, or receive notifications.
- You must not impersonate another person, harass users, spam invitations, or share information you are not authorized to disclose.
We may restrict, remove, or disable social or shared-scheduling functionality to address safety, abuse, privacy, or operational concerns.
8. Acceptable Use
You may not:
- Break the law or violate another person's rights.
- Upload content you do not have permission to process.
- Harass, threaten, stalk, exploit, or deceive another person.
- Attempt unauthorized access, credential theft, reverse engineering, security testing without written authorization, or circumvention of quotas or safeguards.
- Use automated means to scrape, overload, probe, or disrupt the Services.
- Introduce malware, malicious instructions, or code intended to damage or exfiltrate data.
- Resell, sublicense, or commercially exploit the Services except under a separate written agreement.
- Misrepresent AI output as verified fact where doing so could harm another person.
- Use Maddy to make or support decisions about another person in high-impact areas such as employment, housing, credit, insurance, education admission, law enforcement, or health care.
- Use the Services in a way that violates OpenAI, Apple, or another applicable third-party service policy.
We may investigate suspected misuse and preserve or disclose information as permitted by law and the Privacy Policy.
9. Subscriptions, Billing, And Refunds
Maddy may offer free and paid plans with different features or usage limits. The price, billing period, trial, renewal terms, and included features shown in the App Store purchase flow control at the time of purchase.
Subscriptions purchased through the App Store:
- Are billed by Apple to your Apple account.
- May renew automatically unless cancelled through Apple before renewal.
- Are managed through your Apple subscription settings.
- Are subject to Apple's payment, cancellation, tax, and refund rules.
We do not receive your full payment-card number. Deleting Maddy or deleting Maddy data does not automatically cancel an Apple subscription. You can manage an Apple subscription at apps.apple.com/account/subscriptions. Unless required by law, Maddy cannot issue a refund for a purchase processed solely by Apple; you may request a refund from Apple.
We may change plan features, limits, or future prices. Changes to an existing auto-renewing subscription take effect as permitted by Apple and applicable law, with notice where required. Usage described as "unlimited" may still be subject to reasonable technical, security, and abuse-prevention limits.
10. Notifications And Service Messages
If you enable notifications, Maddy may send reminders, booking updates, action requests, account notices, and operational messages. You can change notification permission in iOS Settings.
Maddy may display in-app notices about the Services. Marketing communications, if introduced, will include any consent and unsubscribe controls required by law.
Notifications are not guaranteed to arrive, arrive on time, or remain private on a shared or unlocked device. Do not rely on a notification as your only record of an important obligation.
11. Third-Party Services
The Services interact with third-party products and services, including Apple services, OpenAI, Cloudflare, and websites or links you choose to open. Their availability, content, and data practices are controlled by those third parties and may be governed by separate terms.
Maddy is not responsible for a third-party service's independent acts, omissions, outages, or content, except where applicable law provides otherwise. We may change providers or integrations and will update notices or obtain consent when required.
12. Ownership And License
Maddy and its licensors own the Services, including software, designs, trademarks, documentation, and other content, excluding User Content.
Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable license to use Maddy on Apple-branded products you own or control, as permitted by the Apple Media Services Usage Rules. No other rights are granted.
You may not copy, modify, distribute, sell, lease, sublicense, publicly display, create derivative works from, or attempt to derive source code from the Services except where applicable law expressly permits it or an open-source license says otherwise.
13. Feedback
If you send suggestions, ideas, or feature requests, you grant us a perpetual, worldwide, non-exclusive, royalty-free right to use them without restriction or compensation, provided we do not publicly identify you without permission. This does not transfer ownership of your unrelated User Content.
14. Beta Features And Changes
Some features may be identified as beta, preview, experimental, or unavailable. They may be less reliable, change without notice, or be discontinued.
We may modify, suspend, or discontinue all or part of the Services. When reasonably possible, we will give notice of a material change that significantly reduces a paid feature. We are not liable for changes required by law, security, third-party providers, or urgent operational needs, subject to applicable consumer law.
15. Suspension And Termination
You may stop using Maddy at any time and may use the in-app deletion control described in the Privacy Policy.
We may suspend, limit, or terminate access if:
- You materially or repeatedly violate these Terms.
- Your use creates a security, legal, fraud, abuse, or safety risk.
- Payment or entitlement validation fails.
- We are required to do so by law or a third-party platform.
- Continuing to provide the Services is no longer reasonably practicable.
Suspended users may immediately lose backend access. Where appropriate and legally permitted, we will provide notice and an opportunity to contact support.
Sections that by their nature should survive termination remain effective, including ownership, payment obligations, disclaimers, limitations, dispute terms, and lawful retention provisions.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." MADDY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND QUIET ENJOYMENT.
WE DO NOT WARRANT THAT:
- AI OUTPUT OR SCHEDULING ACTIONS WILL BE COMPLETE, ACCURATE, OR APPROPRIATE.
- THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
- A CALENDAR EVENT, REMINDER, NOTIFICATION, PURCHASE, OR SHARED BOOKING WILL BE SAVED, DELIVERED, OR SYNCHRONIZED.
- DATA LOSS OR THIRD-PARTY OUTAGES WILL NEVER OCCUR.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
17. Limitation Of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MADDY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITIES, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MADDY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO MADDY FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- CAD $100.
These limits do not apply to liability that cannot lawfully be limited, including where applicable liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or violation of non-waivable consumer rights.
18. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Maddy and its officers, directors, employees, contractors, and affiliates from third-party claims, damages, and reasonable costs arising from your unlawful use of the Services, your User Content, or your material violation of these Terms or another person's rights.
This section does not require a consumer to indemnify Maddy for Maddy's own negligence, breach, or unlawful conduct and does not limit non-waivable rights.
19. Governing Law And Disputes
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules.
The courts located in Ontario will have non-exclusive jurisdiction, except that:
- You may bring a claim in a court or tribunal available under mandatory consumer law where you live.
- Nothing prevents either party from seeking urgent injunctive relief.
- The parties may agree to use informal negotiation or mediation.
These Terms do not require individual arbitration and do not waive class-action rights unless a later version expressly says so and applicable law permits it.
20. Apple-Specific Terms
If you downloaded Maddy through Apple's App Store:
- These Terms are between you and Maddy, not Apple. Maddy, not Apple, is responsible for the Services and their content.
- Your license is limited to use on Apple-branded products you own or control as permitted by the Apple Media Services Usage Rules, including applicable Family Sharing or volume-purchase rules.
- Apple has no obligation to provide maintenance or support for Maddy.
- If Maddy fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, as provided by Apple's rules. To the maximum extent permitted by law, Apple has no other warranty obligation.
- Maddy, not Apple, is responsible for addressing claims relating to Maddy, including product-liability, legal-compliance, and consumer-protection claims.
- Maddy, not Apple, is responsible for investigating and resolving any claim that Maddy infringes a third party's intellectual-property rights.
- You represent that you are not located in a country subject to a U.S. government embargo and are not listed on a U.S. government prohibited or restricted-party list.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce this section against you.
Unless Maddy submits these Terms, or another agreement, as a valid Custom EULA through App Store Connect, Apple's Standard End User License Agreement governs the license to the iOS application and these Terms supplement it by governing Maddy's accounts, subscriptions, backend, AI, shared-scheduling, and other Services. If Maddy submits a Custom EULA, the submitted Custom EULA governs the application license. If these Terms conflict with a mandatory Apple term, the mandatory Apple term controls to the extent of the conflict.
21. Export And Sanctions
You may not use, export, or re-export Maddy except as authorized by the laws of Canada, the United States, and the jurisdiction where you obtained it. You may not use Maddy for a prohibited end use or on behalf of a prohibited or sanctioned person or entity.
22. General
These Terms and the Privacy Policy are the entire agreement between you and Maddy concerning the Services, except for terms shown in an App Store purchase flow or a separate written agreement.
If a provision is unenforceable, it will be modified only as much as needed, and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or sale, subject to applicable law.
Headings are for convenience. "Including" means "including without limitation." Electronic notices and acceptance may satisfy writing requirements where permitted by law.
23. Changes To These Terms
We may update these Terms. We will post the revised version, update the "Last updated" date, and provide additional notice when a change is material. If required by law, we will ask you to accept the revised Terms. Changes do not retroactively reduce rights that have already accrued.
